End User License Agreement (EULA)

This End User License Agreement ("Agreement") is a legal agreement between you and Bioprocess Tools LLC ("we," "us," or "our") for the use of our desktop software applications and any associated updates, documentation, and license keys (the "Software").

By installing, accessing, or using the Software, you agree to be bound by this Agreement. If you do not agree, do not install or use the Software.

1. License grant

Subject to your compliance with this Agreement and payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Software for your internal business or personal purposes, in accordance with the license tier you purchased.

2. License keys and activation

The Software may require a valid license key to activate. You are responsible for keeping your license key confidential. We may validate licenses to prevent unauthorized use.

3. Restrictions

You may not:

  • Copy, distribute, sublicense, rent, lease, or resell the Software;
  • Reverse engineer, decompile, or disassemble the Software, except to the extent permitted by applicable law;
  • Remove or alter any proprietary notices;
  • Use the Software in violation of applicable laws or regulations.

4. Ownership

The Software is licensed, not sold. We retain all right, title, and interest in and to the Software, including all intellectual property rights. Your modeling data and project files remain yours.

5. Updates

We may provide updates, which are subject to this Agreement unless accompanied by separate terms. We are not obligated to provide updates or support indefinitely.

6. Disclaimer of warranties

The Software is provided "as is" and "as available," without warranties of any kind, whether express or implied, including fitness for a particular purpose. The Software provides modeling estimates and is a decision-support tool; you are responsible for validating outputs before relying on them for any process, regulatory, or safety decision.

7. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising from your use of the Software. Our total liability will not exceed the amount you paid for the Software in the twelve months preceding the claim.

8. Termination

This Agreement is effective until terminated. It terminates automatically if you breach it. Upon termination, you must stop using and uninstall the Software.

9. Governing law

This Agreement is governed by the laws of the jurisdiction in which Bioprocess Tools LLC is established, without regard to conflict-of-laws principles.
